Over the past year, IVLF Advisors LLC, led by Managing Partner Nghia, Nguyen Trung, has engaged and had the privilege of successfully providing comprehensive advisory and support services for the management and resolution of legal and financial risks associated with a complex crowdfunding transaction.

In the first-ever Crowdfunding Advisory project, our company provided the following key services:

1. Developed and implemented strategies to minimize legal risks to the greatest extent practicable;
2. Drafted and finalized all necessary legal documentation;
3. Structured contractual arrangements through a series of first-ever specialized agreements tailored to the specific requirements of the transaction;
4. Structured the capitalization of the Special Purpose Vehicle (SPV), accommodating both individual investors and a group of companies to maintain the desired tracking share ratio;
5. Executed all required legal procedures with the relevant provincial Department of Planning and Investment and the Vietnam Securities Depository and Clearing Corporation (VSDC) to facilitate share transfers and in-kind capital contributions; and
6. Executed certain other specialized technical settlement tasks between the crowdfunder, individual investors, and the SPV, including without limitation to exchangeable debt, convertible debt, special share transfer, and private placement...

The engagement successfully enabled angel investors to acquire preferred shares in a newly formed SPV without triggering public company registration requirements with the State Securities Commission. This was accomplished while simultaneously facilitating capital contributions to the SPV using the parent company's shares, registered with the VSDC.

This transaction resulted in several myriad individual investors becoming shareholders in the SPV. Critically, the newly established SPV successfully avoided classification as a public company under the 2019 Securities Law.
